Introduction

These Terms and Conditions (“Terms”, “Terms & Conditions”) govern your access to and use of the website located at https://www.neogora.ai, including all subdomains, software platforms, applications, systems, content, programs, subscriptions, products, and services (collectively, the “Service”) operated by Neogora LLC, a Wyoming limited liability company (“Neogora,” “Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Service.

Binding Agreement

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Neogora LLC. Your access to or use of the Service constitutes acceptance of these Terms and any policies incorporated by reference.

Eligibility & Age Requirement

You must be at least eighteen (18) years of age and legally permitted to enter into binding contracts under applicable law. You represent and warrant that your use of the Service is lawful in your jurisdiction.

Acceptance of Additional Terms

Certain features of the Service may be subject to additional agreements, disclosures, or policies, including but not limited to affiliate, referral, incentive, subscription, compliance, or promotional terms. Such terms are incorporated by reference and are binding.

Electronic Communications

By using the Service, you consent to receive all communications electronically, including notices, disclosures, billing communications, and legal notices.

Definitions

“Account,” “Affiliate,” “Subscription Services,” “Incentives,” “Third-Party Provider,” “User-Generated Content,” and “Service” have their commonly understood meanings in the context of these Terms.

Nature & Scope of Services

Neogora LLC provides access to business systems, software platforms, subscription-based services, educational resources, and optional referral, incentive, and affiliate programs.

Neogora LLC does not:

Guarantee income, profits, or business success
Provide legal, tax, accounting, or investment advice
Act as a bank, fiduciary, money transmitter, or investment advisor

Intermediary & Third-Party Services

Neogora LLC acts solely as an intermediary. We do not own, operate, or control Third-Party Providers. All Third-Party services are governed by their own terms.

User Accounts

Account Creation

To access certain features, you may be required to create an Account at https://www.neogora.ai. You agree to provide accurate, current, and complete information and to keep such information updated.

Account Security

You are solely responsible for safeguarding credentials and all activity under your Account. Neogora LLC is not liable for losses arising from unauthorized access due to your failure to protect credentials.

Account Use

Accounts are personal, non-transferable, and may not be shared, sold, or assigned. Use must comply with these Terms and all applicable laws.

No Expectation of Continuous Access

Neogora LLC does not guarantee uninterrupted or error-free access. Access may be restricted, suspended, or modified at any time for maintenance, security, compliance, or operational reasons.

Account Monitoring, Audits & Compliance Reviews

Neogora LLC may monitor, review, audit, and investigate Account activity for fraud prevention, compliance, risk management, and enforcement. Actions may include suspension, termination, or withholding benefits.

Termination or Suspension

Neogora LLC may suspend or terminate Accounts at its sole discretion, with or without notice, including for violations, non-payment, fraud risk, sanctions concerns, or chargeback activity.

Multiple Accounts

Only one Account per User is permitted unless expressly authorized. Multiple Accounts may result in termination and forfeiture of benefits.

Account Deletion

Account deletion requests are subject to verification and legal retention obligations.

Subscription Services

Overview

Neogora LLC may offer subscription-based Services providing ongoing access to the platform, tools, systems, programs, support, and educational resources (“Subscription Services”). By subscribing, you agree to pay all applicable fees.

Subscription Plans

Plans may differ in pricing, billing cycle, access, features, incentives, and benefits. Plan details are disclosed at signup and may change.

Free Trials

Free trials may be offered at Neogora LLC’s discretion. Unless canceled before expiration, trials convert automatically to paid subscriptions. Trial conversions are non-refundable except where required by law.

Billing & Payment

Subscriptions are billed in advance on a recurring basis. You authorize automatic charges to your payment method until canceled.

Subscription Renewal

Subscriptions renew automatically unless canceled before renewal. You are responsible for managing your subscription status.

Upgrades & Downgrades

Plan changes may take effect immediately or at the next billing cycle. Downgrades do not entitle you to refunds for unused time.

Cancellation by User

Cancellation stops future billing only. Access continues until the end of the billing cycle. No refunds for unused time.

Termination by Neogora LLC

Neogora LLC may terminate subscriptions at any time for violations, inactivity, non-payment, fraud, or compliance risk, without refund where permitted by law.

Payments, Pricing, Cancellation & Refunds

All payment terms, pricing structures, taxes, promotions, renewals, chargebacks, and refund rules are governed by the Refund & Cancellation Policy, incorporated by reference. Except where required by law, all sales are final.

Incentives, Commissions & Platform Discretion

All incentives, bonuses, commissions, rewards, or promotional benefits:

Are discretionary and conditional.
Have no cash value.
Are not guaranteed.
May be delayed, withheld, reversed, modified, or revoked.

Neogora LLC retains sole discretion over eligibility, timing, and availability.

Anti-Money Laundering, Fraud & Sanctions Compliance

Neogora LLC complies with applicable AML, counter-terrorism financing, sanctions, and fraud-prevention laws. We may verify identity, request documentation, suspend Accounts, withhold funds, reverse transactions, or report activity to authorities where required.

Affiliate & Marketing Compliance

Affiliates are independent contractors. Unauthorized income claims, misleading representations, or policy violations may result in immediate termination and forfeiture of commissions.

User Conduct & Responsibilities

Users may not engage in unlawful, deceptive, abusive, automated, or infringing conduct. Violations may result in suspension, termination, content removal, legal action, or reporting to authorities.

User-Generated Content

By submitting content, you grant Neogora LLC a perpetual, worldwide, royalty-free, sublicensable license to use such content. You remain solely responsible for your content.

Intellectual Property

All content, trademarks, software, and systems are owned by or licensed to Neogora LLC. No rights are granted except as expressly stated.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ALL WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Release & Limitation of Liability

Neogora LLC shall not be liable for indirect, incidental, consequential, or exemplary damages. Maximum aggregate liability shall not exceed amounts paid by you in the preceding twelve (12) months.

Indemnification

You agree to indemnify and hold harmless Neogora LLC from claims arising from your use of the Service, content, violations of law, or affiliate conduct attributable to you.

Arbitration & Class Action Waiver

All disputes shall be resolved by binding arbitration under the Federal Arbitration Act. No class actions or jury trials are permitted. Opt-out available within 30 days.

Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.

International Use

Users are solely responsible for compliance with local laws. Neogora LLC makes no representation that the Service is lawful in all jurisdictions.

Modifications

Neogora LLC may modify these Terms at any time. Continued use constitutes acceptance.

Entire Agreement

These Terms, together with incorporated policies, constitute the entire agreement between you and Neogora LLC.
